Welcome to ClicheFactory (accessible at clichefactory.com, hereafter referred to as the “Platform” or “Service”).

These Terms of Service (“Terms”) constitute a legally binding agreement between you and the service provider:

These Terms govern your access to and use of our Platform, including our Web UI, SDKs, MCP (Model Context Protocol) integrations, HTTP APIs, and Command-Line Interfaces (CLIs) (collectively, the “Access Methods” or “Services”).

By creating an account, purchasing credits, or using our Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

1. Description of Services & Access Methods

ClicheFactory provides managed artificial intelligence inference, AI system optimization and training workflows, and software-enabled data-labeling pipelines. You can access these Services through several entry points:

• Web UI: Interactive use via your web browser.
• SDK: Programmatic integration via our official software development kits (e.g., Python).
• MCP Integration: Connections via Model Context Protocol-compatible clients or agents.
• HTTP API: Direct API access via REST-like endpoints.
• CLI: Command-line interface tools for scripting and automated workflows.

All Access Methods are functionally equivalent interfaces to the same underlying Services. Rate limits, security controls, and credit consumption rules apply uniformly across all Access Methods.

2. Accounts, Security, and API Keys

• Account Responsibility: You are responsible for maintaining the confidentiality of your account credentials, including any passwords and API keys/tokens.
• API Keys & Security: Any API keys generated by your account grant direct access to your credit balance. You are solely liable for all activity, credit consumption, and data transfers occurring under your credentials. If you leak or lose control of an API key, you must revoke it immediately via your developer dashboard.
• MCP Disclaimer: If you use Model Context Protocol (MCP) clients or third-party autonomous agents to interact with ClicheFactory, you acknowledge that these third-party agents act on your behalf. We are not responsible for the behavior, errors, or unexpected credit consumption caused by third-party MCP clients.

3. The Credits System, Billing, and Payments

ClicheFactory operates on a prepaid usage model.

• Credits: To run jobs on the platform, you must purchase prepaid units (“Credits”). Credits have no cash value, are non-transferable, and do not represent a property right.
• Deduction & Calculation: Credits are deducted from your balance based on actual usage. Consumption is calculated based on three core metrics:
  • Per Labeled Item: Charged for each data unit processed through our labeling pipeline.
  • Per AI Prefill: Charged for automated AI-assisted labeling initialization or pre-completion.
  • Per Training Session: Charged for launching and executing an AI system optimization or training run.
• No Current Expiration: Currently, purchased Credits do not expire. However, we reserve the right to introduce an expiration policy in the future. Any such change will be applied prospectively only (affecting only Credits purchased after the updated terms go into effect) and will be preceded by reasonable prior notice.
• Zero Balance (Hard Stop): If your Credit balance reaches zero, active jobs may fail, queued jobs will be paused or cancelled, and further API/inference requests will be blocked until additional Credits are purchased.
• Merchant of Record: Payments for Credits are secured and processed through our Merchant of Record, Paddle. Your purchases are subject to Paddle’s checkout terms and conditions in addition to these Terms.

4. Customer Content, Outputs, and Intellectual Property

4.1 Your Stuff vs. Our Stuff

• Customer Content: You retain all intellectual property rights in the prompts, files, datasets, labeling instructions, and other inputs you submit to the Service (“Customer Content”).
• Outputs: We assign to you all right, title, and interest in the results, text, images, or files generated by the Service based on your Customer Content (“Outputs”), to the extent permitted by applicable law. You acknowledge that due to the nature of machine learning, Outputs may not be unique, and other users may generate identical or similar outputs.
• Platform IP: ClicheFactory retains all ownership, rights, and intellectual property in our software, UI design, SDKs, CLIs, documentation, and proprietary underlying tooling.

4.2 Strict “No-Training” Commitment

• Our Promise on Data Privacy: We do not use your Customer Content (including prompts, files, datasets, or labels) or your generated Outputs to train, fine-tune, or improve our own models, our general training pipelines, or any other customer’s models.

Your datasets and custom pipelines are strictly isolated. We only process your content to the minimum extent necessary to run your requested jobs, prevent abuse, and troubleshoot technical errors.

5. Data Retention & Deletion

• Storage (S3): Files and datasets uploaded via the Web UI are stored in our object storage (S3) to allow you to run repeated jobs, and are retained until you choose to delete them. We reserve the right to introduce reasonable storage limits or inactive data fees in the future, subject to prior notice.
• Job Payloads & Outputs: Input payloads and generated outputs are retained until you delete them.
• Operational Logs: System logs, metadata, and error traces are automatically purged or anonymized after 30 days.
• Deletion Requests: You can delete your datasets, models, and account at any time. Upon account deletion, we will wipe your stored customer data from our active systems, subject to any retention required for accounting, tax (via our payment processor), or legal compliance.

6. Training & Software-Enabled Labeling Services

• Software-Only Platform: ClicheFactory provides the software platform, interfaces, and automated pipelines to facilitate data labeling and training. We do not provide human labelers, contractors, or crowd-sourced staffing. You are entirely responsible for bringing, managing, and paying your own labeling personnel who access our platform.
• Labeling Quality & Error Disclaimer: Data labeling, whether assisted by AI pre-fills or performed by humans, is inherently prone to errors, misunderstandings, and inconsistencies. We provide the labeling tooling on an “as-is” basis and make no representations or warranties that the final labeled output will be 100% accurate, complete, or fit for your specific downstream production models.
• Dataset Integrity: You warrant that you possess all necessary rights, licenses, and permissions to upload datasets for training or labeling.
• AI Systems Ownership & Access: Optimized pipelines, programs, and compiled configurations (“AI Systems”) generated from your training or optimization sessions are your exclusive property and are accessible only to your account. You acknowledge that ClicheFactory provides access to run and host these compiled AI Systems on our infrastructure; these optimization features do not include the export or delivery of raw underlying model weights or checkpoint files.

7. Acceptable Use & High-Risk Disclaimers

• Prohibited Content: You agree not to use the Service to generate, store, or distribute illegal content (including CSAM), cyberattack payloads, malware, or content that violates third-party intellectual property or privacy rights.
• High-Risk & Medical Usage Disclaimer: You acknowledge that artificial intelligence and machine learning technologies are probabilistic and imperfect.
  • You may use ClicheFactory to label ground-truth datasets, run evaluations, or train/optimize supporting programs for medical or technical research.
  • However, you must not rely on ClicheFactory as a sole, primary, or real-time diagnostic system, critical infrastructure controller, or in any safety-critical application where an algorithmic error or system downtime could directly lead to death, physical injury, or severe environmental/economic damage without rigorous independent human validation.
• Enforcement: We reserve the right to block requests, suspend accounts, and report illegal activity to law enforcement if we detect violations of this section.

8. Disclaimers & Limitation of Liability

• As-Is Service: The Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied.
• Limitation of Liability: To the maximum extent permitted by law, ClicheFactory’s total liability for any claim arising out of these Terms shall not exceed the total amount of fees (Credits purchased) paid by you to ClicheFactory in the twelve (12) months preceding the event giving rise to liability. We are not liable for any indirect, incidental, or consequential damages (such as lost profits or lost data).

9. Account Suspension & Termination

• Suspension/Termination: We may suspend or terminate your access to the platform at any time for material breach of these Terms, nonpayment, or to comply with legal/governmental requests.
• Forfeiture of Credits: If your account is terminated by us for cause (e.g., violating our Acceptable Use Policy, payment fraud, or severe abuse of the API), any remaining Credit balance on your account is permanently forfeited and non-refundable.

10. Governing Law and Jurisdiction

These Terms and any disputes arising out of or in connection with them shall be governed by, and construed in accordance with, the laws of the Republic of Slovenia and the laws of the European Union applicable therein, without giving effect to any choice of law or conflict of law provisions.

Any legal action, suit, or proceeding arising out of or relating to these Terms shall be instituted exclusively in the competent courts located in Ljubljana, Slovenia.
